No Limitation on Payments. Except as otherwise disclosed in the Registration Statement, Prospectuses and Disclosure Package, there is no encumbrance or restriction on the ability of any Subsidiary of the Corporation to (x) pay dividends or make other distributions on such Subsidiary's capital stock or to pay any indebtedness to the Corporation or any other Subsidiary of the Corporation, (y) make loans or advances or pay any indebtedness to, or investments in, the Corporation or any other Subsidiary or (z) transfer any of its property or assets to the Corporation or any other Subsidiary of the Corporation.
