Common use of No Litigation or Legislation Clause in Contracts

No Litigation or Legislation. No Federal, state or local statute, rule or regulation shall have been enacted after the date hereof, and no litigation, proceeding, government inquiry or investigation shall be pending, which prohibits or seeks to prohibit or materially restricts the consummation of the transactions contemplated by this Agreement or the other agreements referred to herein, or materially restricts or impairs the ability of the Investor to own an equity interest in the Company.
