Common use of No Loss of Unvested Benefits; No Distributions Clause in Contracts

No Loss of Unvested Benefits; No Distributions. The transfer of any SpinCo Group Employee’s employment to the SpinCo Group will not result in loss of that SpinCo Group Employee’s unvested benefits (if any) under the KAR Savings Plan, which benefit liability will be assumed under the SpinCo Savings Plan as provided herein. No SpinCo Group Employee shall be entitled to a distribution of his or her benefit under the KAR Savings Plan or SpinCo Savings Plan as a result of such transfer of employment.

The transfer of any SpinCo Spinco Group Employee’s employment to the SpinCo Spinco Group will not result in the loss of that SpinCo Spinco Group Employee’s unvested benefits (if any) under the KAR applicable Parent Savings Plan, the Liability for which benefit liability benefits will be assumed under the SpinCo corresponding Spinco Savings Plan as provided herein. No SpinCo Spinco Group Employee shall be entitled to a distribution of his or her benefit under the KAR Parent Savings Plan or SpinCo Spinco Savings Plan as a result of such transfer of employment.
