No Material Adverse Event. Nothing shall have occurred since March 31, 1999 or, if later, the date of the audited financial statements most recently delivered to the Agent and the Lenders, which the Agent or the Required Lenders shall determine either (i) constitutes a Material Adverse Event or (ii) has, or may have, a material adverse effect on the rights or remedies of the Agent and the Lenders under this Agreement or any other Loan Document.
