No Non-Public Information. Company covenants and agrees that neither it nor any other Person acting on its behalf will, provide Investor or its agents or counsel with any information that Company believes or reasonably should believe may constitute material non-public information. Neither Investor nor any Affiliate of Investor has or will have any duty of trust or confidence that is owed directly, indirectly, or derivatively, to Company or the stockholders of Company, or to any other Person who is the source of material non-public information regarding Company. Company understands and confirms that Investor will be relying on the foregoing in effecting transactions in securities of Company, including without limitation sales of the Conversion Shares.

Company covenants and agrees that neither it nor any other Person acting on its behalf will, provide Investor Purchaser or its agents or counsel with any information that Company believes or reasonably should believe may constitute constitutes material non-public information. Neither Investor On and after the Effective Date, neither Purchaser nor any Affiliate of Investor has or Purchaser will have any duty of trust or confidence that is owed directly, indirectly, or derivatively, to Company or the stockholders of Company, or to any other Person who is the source of material non-public information regarding Company. Company understands and confirms that Investor Purchaser will be relying on the foregoing in effecting transactions in securities of Company, including without limitation sales of the Conversion Shares.

Company understands and confirms that Investor Lender will be relying on the foregoing in effecting transactions in securities of Company, including without limitation sales of the Conversion Shares.

Company understands and confirms that Investor Subscriber will be relying on the foregoing in effecting transactions in securities of Company, including without limitation sales issues of the Conversion Shares.
