Common use of No Operations Clause in Contracts

No Operations. (a) Such Merger Sub was formed solely for the purpose of effecting the Mergers, and since its formation, such Merger Sub has not engaged in any activity other than the Mergers and related administrative activities. (b) Other than obligations under this Agreement, such Merger Sub has no liabilities or obligations of any kind whatsoever, whether accrued, contingent, absolute, determined, determinable or otherwise. (c) Such Merger Sub has no assets.
