No Person has any agreement or option or any right or privilege capable of becoming a Contract or option for the purchase from the Company or the Company Subsidiaries of any of the assets of the Company other than as described or contemplated in this Agreement and the Company Disclosure Letter.

No Person has any agreement or option or any right or privilege capable of becoming an agreement or option for the purchase from Vitran or any Vitran Subsidiary of any of the assets owned by Vitran or any Vitran Subsidiary and none of the properties or assets owned by Vitran or any Vitran Subsidiary are subject to any right of first refusal, or purchase or other similar acquisition rights.
