No Other Agreements and Options. Neither Debtor nor the Premises are subject to any commitment, obligation, or agreement, including, without limitation, any right of first refusal, option to purchase or lease granted to a third party, which could or would prevent or hinder FFCA in making the Loans or prevent or hinder Debtor from fulfilling its obligations under this Agreement or the other Loan Documents.
No Other Agreements and Options. Neither Sellers nor Guarantor nor, to the best of Sellers' knowledge, any of the Properties is subject to any commitment, obligation, or agreement, including, without limitation, any right of first refusal, option to purchase or lease granted to a third party, which could or would prevent Sellers from completing or impair Sellers' ability to complete the sale of any of the Properties under this Agreement or which would bind Buyer subsequent to consummation of the transaction contemplated by this Agreement.
No Other Agreements and Options. None of the Seller Entities or any Property is subject to any commitment, obligation, or agreement, including, without limitation, any right of first refusal, option to purchase or lease granted to a third party, which could or would (i) prevent Seller from completing, or impair Seller's ability to complete, the safe of the Properties under this Agreement or the subsequent lease of the Properties pursuant to the Lease, or (ii) bind Purchaser subsequent to consummation of the Transaction. Except as otherwise disclosed by Seller in writing to Purchaser, there is no lease in place, nor has there been any lease in place within the last twelve (12) months of the Effective Date, related to all or any part of any Property, even if any such lease will be terminated upon Closing.
No Other Agreements and Options. None of Seller, Lessee, Guarantor or any Property is subject to any commitment, obligation, or agreement, including, without limitation, any right of first refusal, option to purchase or lease granted to a third party, which could or would (i) prevent Seller from completing, or impair Seller’s ability to complete, the sale of the Properties under this Agreement or the subsequent lease of the Properties pursuant to the Lease Agreement, (ii) bind Purchaser subsequent to consummation of the Transaction or, (iii) to Seller’s knowledge, prevent the provision of the Guaranty by Guarantor.
No Other Agreements and Options. Other than as contained in the Dapper II Master Lease and the other Sale-Leaseback Documents, Dapper II is not subject to any commitment, obligation, or agreement, including, without limitation, any right of first refusal, option to purchase or lease granted to a third party, which could or would prevent or hinder Dapper II from fulfilling its obligations under this Agreement or the other Transaction Documents. All representations and warranties of Dapper II made in this Agreement shall survive the Closing.
No Other Agreements and Options. Other than as contained in the Dapper III Master Lease and the other Sale-Leaseback Documents, Remainderman III is not subject to any commitment, obligation, or agreement, including, without limitation, any right of first refusal, option to purchase or lease granted to a third party, which could or would prevent or hinder Remainderman III from fulfilling its obligations under this Agreement or the other Transaction Documents. All representations and warranties of Remainderman III made in this Agreement shall survive the Closing.
No Other Agreements and Options. Neither Debtor nor the Equipment are subject to any commitment, obligation, or agreement, including, without limitation, any right of first refusal, option to purchase or lease granted to a third party, which could or would prevent or hinder FFCA in making the Equipment Loans or exercising any of its rights or remedies under the Loan Documents or prevent or hinder Debtor from fulfilling its obligations under this Agreement or the other Loan Documents except for Permitted Liens.
No Other Agreements and Options. Neither Debtor, Lessee nor the Premises are subject to any commitment, obligation, or agreement, including, without limitation, any right of first refusal, option to purchase or lease granted to a third party, which could or would prevent or hinder FFCA in making the Loans or prevent or hinder Debtor from fulfilling its obligations under this Agreement or the other Loan Documents, other than those agreements with Existing Lessors for which FFCA shall have received a Lease Estoppel Certificate and Consent prior to Closing and the franchise, license and/or area development agreements with Franchisor for which FFCA shall have received a Franchisor Certificate prior to Closing.
No Other Agreements and Options. None of Carvana, Guarantor or any Property is subject to any commitment, obligation, or agreement, including, without limitation, any right of first refusal or offer or similar right to purchase or lease or option to purchase or lease granted to a third (3rd) party, other than the Operator Lease and any Ground Lease, which will (x) to Carvana’s knowledge, prevent the provision of the Guaranty by Guarantor, or (y) bind VMRE subsequent to consummation of the Transactions or any applicable Closing, and Carvana shall not enter into any such commitment, obligation or agreement from the Effective Date until Closing of the applicable Property or the earlier termination of this Agreement.
No Other Agreements and Options. Neither CBI, Casa, Guarantor nor the Premises are subject to any commitment, obligation, or agreement, including, without limitation, any right of first refusal, option to purchase or lease granted to a third party, which could or would prevent or hinder FFCA in making the Loans or prevent or hinder Debtor or Guarantor, as the case may be from fulfilling their respective obligations under 11 12 this Agreement or the other Loan Documents.
