No Other Agreements to Sell Assets or Business. The Company is not a party to any existing agreement which obligates the Company to sell to any other person or firm the Purchased Assets (other than sales in the ordinary course of business).

Neither the Company nor the Shareholder is a party to any existing agreement which obligates the Company or the Shareholder to sell to any other person or firm the Purchased Assets (other than sales in the ordinary course of business), to issue or sell any capital stock or any security convertible into or exchangeable for capital stock of the Company or to effect any merger, consolidation or other reorganization of the Company or to enter into any agreement with respect thereto.
No Other Agreements to Sell Assets or Business. Except for this Agreement, neither Sellers nor Shareholder has any legal obligation, absolute or contingent, to any other person or firm to sell the assets used in the Business (other than sales in the ordinary course of business), to issue or sell any capital stock or any security convertible into or exchangeable for capital stock of any Seller or to effect any merger, consolidation or other reorganization of any Seller or to enter into any agreement with respect thereto.
No Other Agreements to Sell Assets or Business. Such Seller has ---------------------------------------------- no obligation, absolute or contingent, to any other individual, corporation, partnership, trust, limited liability company, association, joint venture or any similar entity (each, a "Person") to (i) sell such Seller's Shares (other than the sales contemplated hereby), or (ii) cause the Company to (A) sell any assets of the Company (other than sales of inventory in the ordinary course of the business of the Company), (B) issue, sell or otherwise transfer any capital stock or any security convertible into or exchangeable for capital stock of the Company (other than the sales contemplated hereby), (C) effect any merger, consolidation or other reorganization of the Company or (D) enter into any agreement with respect to any of the foregoing.
No Other Agreements to Sell Assets or Business. Except for the Employee Stock Options, the Existing Shareholders Agreements and the Caldxxxx Xxxe, the Company is not a party to any existing agreement which obligates the Company or the Primary Shareholders to sell to any other person or firm the Company's Assets (other than sales in the ordinary course of business and except as provided in Sections 5.03 and 5.06), to issue or sell any capital stock or any security convertible into or exchangeable for capital 10 14 stock of the Company or to effect any merger, consolidation or other reorganization of the Company or to enter into any agreement with respect thereto.

Seller has no other obligation, absolute or contingent, to any Person (other than as contemplated hereby) (i) to sell any of the Purchased Assets (other than inventory in the ordinary course of business), (ii) to issue, sell or otherwise transfer any capital stock or any security convertible into or exchangeable for capital stock of Seller that would impede the consummation of the transactions contemplated hereby, or (iii) to effect any merger, consolidation or other reorganization of Seller or enter into any agreement with respect to any of the foregoing.

None of the Principals, the Seller, Himark Hong Kong or Himark Beijing is a party to any existing agreement which obligates any of the Seller, Himark Beijing, Himark Hong Kong or the Principals to sell to any other person or entity any of Himark Beijing’s or Himark Hong Kong’s assets (other than in the ordinary course of business), to issue or sell any Equity or to effect any merger, consolidation or other reorganization of Himark Beijing or Himark Hong Kong or to enter into any agreement with respect thereto.
No Other Agreements to Sell Assets or Business. Optimum is not a party to any existing agreement which obligates the Company and/or Optimum to sell to any other person or firm the Purchased Assets (other than sales in the ordinary course of business), to issue or sell any capital stock or any security convertible into or exchangeable for capital stock of the Company or to effect any merger, consolidation or other reorganization of the Company or to enter into any agreement with respect thereto.
No Other Agreements to Sell Assets or Business. Neither the Company nor any Seller has any other obligation, absolute or contingent, to any Person (other than as contemplated hereby) (a) to sell any of the Contributed Assets, (b) to issue, sell or otherwise transfer any Membership Interests or capital stock or any security convertible into or exchangeable for capital stock or Membership Interests of any Seller or the Company that would impede the consummation of the transactions contemplated hereby, or (c) to effect any merger, consolidation or other reorganization of any Seller or the Company or enter into any agreement with respect to any of the foregoing.
