No Other Compensation Due. The Parties agree that (i) except as otherwise provided in this Separation Agreement, after the Separation Date, no compensation or other benefits is or will be due and owing from the Company to the Executive and (ii) the payments made under this Separation Agreement and the benefits provided under this Separation Agreement are in lieu of any termination or severance payments or other benefits for which the Executive may be eligible under any of the Company’s employee benefit plans, policies or programs or under WARN and similar state Laws.
