Executive Perquisites, Benefits and Other Compensation. Executive shall be entitled to receive additional benefits and compensation from the Company in such form and to such extent as specified below:
(i) Payment of all premiums for coverage for Executive and his dependent family members under health, hospitalization, disability, dental, life and other insurance plans that the Company may have in effect from time to time, benefits provided to Executive under this clause (i) to be at least equal to such benefits provided to Metals executives.
(ii) Reimbursement for all business travel and other out-of-pocket expenses reasonably incurred by Executive in the performance of his services pursuant to this Agreement. All reimbursable expenses shall be appropriately documented in reasonable detail by Executive upon submission of any request for reimbursement, and in a format and manner consistent with the Company's expense reporting policy.
(iii) The Company shall provide Executive with other executive perquisites as may be available to or deemed appropriate for Executive by the Board and participation in all other Company-wide employee benefits as are available from time to time.

Executive Perquisites, Benefits and Other Compensation. Employee shall be entitled to receive additional benefits and compensation from the Company in such form and to such extent as specified below:
(i) Payment of that portion of the total premiums for coverage for Employee under health, hospitalization, disability, dental, life and other insurance plans that the Company may have in effect from time to time, to the extent permitted by law without triggering any penalties or taxes on either the Company or Employee under the Patient Protection and Affordable Care Act and/or Internal Revenue Code. The benefits provided to Employee under this clause (i) shall be at least equal to such benefits provided to executives or employees in similar positions at the Company.
(ii) Reimbursement for all business travel and other out-of-pocket expenses reasonably incurred by Employee in the performance of Employee's services pursuant to this Agreement. All reimbursable expenses shall be appropriately documented in reasonable detail by Employee upon submission of any request for reimbursement, and in a format and manner consistent with the Company's expense reporting policy.
(iii) The Company shall provide Employee with other executive perquisites (including, but not limited to, participation in the Company's Long-Term Incentive Plan) as may be available to or deemed appropriate for Employee by the Board and participation in all other Company-wide employee benefits as available from time to time. Employee shall be entitled to five (5) weeks of vacation per year in addition to all Federal holidays. Vacation shall be non-cumulative, and if not used, shall expire on December 31 of each year of this Agreement unless extended in writing by the Company.
(iv) On at least an annual basis, the Company’s Board, together with the Compensation Committee of the Company's Board, if any, will review Employee's performance and may award Employee performance-based compensation in its sole discretion, if deemed warranted. Any such performance-based compensation may be in cash or in securities of the Company, or any combination thereof, and shall be subject to such timing of receipt, vesting and any other conditions (including but not limited to conditions which may extend beyond the termination of this contract) as imposed by the Board at the time of such grant and at the time of adoption of any plan under which such performance-based compensation may be granted, if any.
Executive Perquisites, Benefits and Other Compensation. Employee shall be entitled to receive additional benefits and compensation from the Company in such form and to such extent as specified below:
(i) Payment of all premiums for coverage for Employee and his dependent family members under health, hospitalization, disability, dental, life and other insurance plans that the Company may have in effect from time to time, and not less favorable than the benefits provided to other Company executives.
(ii) Reimbursement for all business travel and other out-of-pocket expenses reasonably incurred by Employee in the performance of his services pursuant to this Agreement. All reimbursable expenses shall be appropriately documented in reasonable detail by Employee upon submission of any request for reimbursement, and in a format and manner consistent with the Company's expense reporting policy.
(iii) Four (4) weeks paid vacation for each year during the period of employment or such greater amount as may be afforded officers and key employees generally under the Company's policies in effect from time to time (prorated for any year in which Employee is employed for less than the full year).
(iv) An automobile allowance in the amount of $1,000 per month (increased from $500 per month effective March 2001).
(v) The Company shall provide Employee with other executive perquisites as may be available to or deemed appropriate for Employee by the Board and participation in all other Company-wide employee benefits as available from time to time, which will include participation in the Company's Incentive Compensation Plan.
(vi) Participation in the Company’s 401(k) Plan and Non-Qualified Plan.
(vii) The Company shall reimburse Employee up to $6,000 per year for expenditures on health, insurance, financial planning or tax planning benefits (or similar benefits at the discretion of the Company) or club dues selected by Employee.
Executive Perquisites, Benefits and Other Compensation. During the Employment Term (as defined in Section 3 below), Executive shall be entitled to receive additional benefits and compensation from First Charter in such form and to such extent as specified below:
i. Payment of all or a portion of premiums for coverage for Executive and his dependent family members under health, hospitalization, disability, dental, life and other insurance plans that First Charter may have in effect from time to time. Benefits provided to Executive under this Section 2.c.i. will require Executive to pay the same proportion of premiums for, and shall provide benefits at least equal to, the benefits then provided to First Charter's other executive employees.
ii. Reimbursement for all business travel and other out-of-pocket expenses reasonably incurred by Executive in the performance of his services pursuant to this Agreement. All reimbursable expenses shall be appropriately documented in reasonable detail by Executive upon submission of any request for reimbursement, and in a format and manner consistent with First Charter's expense reporting policy.
iii. First Charter shall provide Executive with other employee perquisites as may be available to or deemed appropriate for Executive by the Board and participation in all other company-wide employee benefits, including but not limited to, any qualified and/or nonqualified retirements plans sponsored by First Charter, as such are available from time to time. Such current additional perquisites are listed on Schedule A, which is attached hereto and incorporated herein, and may be amended from time to time in the discretion of the Board.
iv. Schedule B, which is attached hereto and incorporated herein, lists those other supplemental benefits in which Executive is currently entitled to participate, and may be amended from time to time with the consent of the parties.

(i) Payment of all premiums for coverage for the Executive and her dependent family members under health, hospitalization, disability, dental, life and other insurance plans that the Company may have in effect from time to time, which benefits provided to the Executive under this clause (i) shall be at least equal to such benefits provided to Company executives.
(ii) Reimbursement for all business travel and other out-of-pocket expenses reasonably incurred by the Executive in the performance of her services pursuant to this Agreement. All reimbursable expenses shall be appropriately documented in reasonable detail by the Executive upon submission of any request for reimbursement, and in a format and manner consistent with the Company's expense reporting policy.
(iii) Four (4) weeks paid vacation for each year during the period of employment or such greater amount as may be afforded officers and key employees generally under the Company's policies in effect from time to time (pro-rated for any year in which the Executive is employed for less than the full year).
(iv) The Company shall provide the Executive with other executive perquisites as may be available to or deemed appropriate for the Executive by the Board and participation in all other Company-wide employee benefits as available from time to time, which may include participation in the Company's Long-Term Incentive Plan.
Executive Perquisites, Benefits and Other Compensation. Executive shall be entitled to receive additional benefits and compensation from the Company in such form and to such extent as specified below:
(i) Executive shall be reimbursed for all business travel and other out-of-pocket expenses (including those costs to maintain any professional certifications held or obtained by Executive) reasonably incurred by Executive in the performance of his duties pursuant to this Agreement and in accordance with AmPaM's policy for its similarly situated executives. All such expenses shall be appropriately documented in reasonable detail by Executive upon submission of any request for reimbursement, and in a format and manner consistent with AmPaM's expense reporting policy.
(ii) Executive shall be entitled to participate in all incentive compensation plans and to receive all fringe benefits and prerequisites offered by the Company or AmPaM to any of the Company's or the AmPaM Companies' similarly situated executives, including, without limitation, participation in the various employee benefit plans or programs provided to the employees of the Company or the AmPaM Companies in general, subject to the regular eligibility requirements with respect to each such benefit plans or programs.
(iii) The Company shall provide Executive with such other perquisites as may be deemed appropriate for Executive by the AmPaM Board during the term of this Agreement, all on a basis as favorable to Executive as may be provided or offered to other similarly situated executives of the AmPaM Companies.
Executive Perquisites, Benefits and Other Compensation. Employee shall be entitled to receive additional benefits and compensation from Cotelligent in such form and to such extent as specified below:
(1) Participation for Employee in coverage for Employee and his dependent family members under health, hospitalization, disability, dental, life and other insurance plans that Cotelligent may have in effect from time to time, benefits provided to Employee under this clause (1) to be at least equal to such benefits provided to Cotelligent executives.
(2) Reimbursement for all business travel and other out-of-pocket expenses reasonably incurred by Employee in the performance of his services pursuant to this Agreement. All reimbursable expenses shall be appropriately documented in reasonable detail by Employee upon submission of any request for reimbursement, and in a format and manner consistent with Cotelligent's expense reporting policy.
(3) Four (4) weeks paid vacation for each year during the period of employment ending on the anniversary of the date on which the period of employment commenced (pro rated for any year in which Employee is employed for less than a full year).
(4) Cotelligent shall reimburse Employee $500 per month for expenses incurred in connection with the leasing or acquisition of an automobile.
(5) Cotelligent shall provide Employee with other executive perquisites as may be available to or deemed appropriate for Employee by the Board and participation in all other Cotelligent-wide employee benefits as available from time to time.
Executive Perquisites, Benefits and Other Compensation. Employee shall be entitled to receive additional benefits from the Company in such form and to such extent as determined by the Company. Such benefits shall be established concurrently with the execution of this Agreement and shall remain in place during the term of this Agreement, unless otherwise agreed to in writing by the Company and Employee.

(i) Coverage, subject to contributions required of employees generally, for Executive and Executive's dependent family members under health, hospitalization, disability, dental, life and other insurance plans that the Company may have in effect from time to time for the benefit of its employees.
(ii) Reimbursement for all business travel and other out-of-pocket expenses reasonably incurred by Executive in the performance of Executive's services pursuant to this Agreement. Reimbursable expenses shall be appropriately documented in reasonable detail by Executive, and shall be in a format consistent with the Company's expense reporting policy.
