Common use of No Other Registration Rights Clause in Contracts

No Other Registration Rights. During the period commencing the date hereof and ending on the earlier to occur of (i) the one year anniversary of the Closing and (ii) the date the Registration Statement required to be filed by the Company in accordance with the Registration Rights Agreement is declared effective under the Securities Act by the Commission, the Company may not file any registration statement that provides for the registration of shares of Common Stock to be sold by other shareholders of the Company without the prior written consent of the Purchasers or their assigns. Such registration rights shall not apply to registration statements relating solely to (i) employee benefit plans notwithstanding the inclusion of a resale prospectus for securities received under such employee benefit plan, or (ii) business combinations.
