NO ASSIGNMENT OF REGISTRATION RIGHTS. The rights under this Agreement shall not be assignable.
NO ASSIGNMENT OF REGISTRATION RIGHTS. This Agreement and the rights, agreements or obligations hereunder may not be assigned, by operation of law, merger or otherwise, and without the prior written consent of the other party hereto, and any purported assignment by a party without prior written consent of the other party will be null and void and not binding on such other party. Subject to the preceding sentence, all of the terms, agreements, covenants, representations, warranties and conditions of this Agreement are binding upon, and inure to the benefit of and are enforceable by, the parties and their respective successors and assigns.
NO ASSIGNMENT OF REGISTRATION RIGHTS. The rights to cause the Company to register Registrable Securities pursuant to this Article V may only be assigned by a Holder to a transferee or assignee of any Registrable Securities if (i) such transferee or assignee is a Zell Xxxtracting Party and (ii) immediately following such transfer the further disposition of such securities by the transferee or assignee is restricted under the Act.
NO ASSIGNMENT OF REGISTRATION RIGHTS. The rights hereunder to cause the Company to register the Holder Registrable Securities may not be assigned by Holder except in connection with an assignment of the Warrant made in accordance with the terms of this Warrant Agreement.
NO ASSIGNMENT OF REGISTRATION RIGHTS. The rights to cause the Company to register Registrable Securities pursuant to this Article II may not be assigned by a Holder to any transferee of Registrable Securities (other than a transferee under a transfer made pursuant to Section 2.1(iii) hereof).
NO ASSIGNMENT OF REGISTRATION RIGHTS. The rights to cause the Company to register Registrable Securities pursuant to this Section 5 may only be assigned by a Holder to a transferee or assignee of any Registrable Securities if (i) such transferee or assignee is a Xxxx Contracting Party and (ii) immediately following such transfer the further disposition of such securities by the transferee or assignee is restricted under the Act.
NO ASSIGNMENT OF REGISTRATION RIGHTS. The registration rights provided hereunder are not assignable.
NO ASSIGNMENT OF REGISTRATION RIGHTS. The rights of Holder to cause the Company to register Registrable Securities pursuant to this Section 1 may not be assigned to any person or entity.
NO ASSIGNMENT OF REGISTRATION RIGHTS. The rights to cause the Company to register Registrable Securities pursuant to this Agreement may not be assigned; provided, however, that the Holder may assign its rights and obligations under this Agreement to any Affiliate of the Holder which has become the owner of Registrable Securities.
NO ASSIGNMENT OF REGISTRATION RIGHTS. The rights to cause the Company to register Registrable Securities pursuant to this Section 9 may only be assigned by a Holder to another Holder.
