No Other Solicitations. Until the earlier of the Effective Time or ---------------------- the termination of this Agreement, the Company and the Stockholders shall not, and the Company and the Stockholders shall use their best efforts to cause each of their respective officers, directors, employees, representatives and agents or affiliates of such officers, directors, employees, representatives and agents not to, directly or indirectly, solicit, initiate or encourage any offer, proposal or inquiry from, or engage in any discussions or negotiations with, any person regarding the sale or lease of the capital stock of the Company, its business, or any of the Company Business Assets. The Company shall immediately notify Parent of, and shall disclose to Parent all details of, any inquiries, discussions or negotiations of the nature described above.

The Shareholder Representatives shall immediately notify the Buyer of, and shall disclose to the Buyer all details of, any inquiries, discussions or negotiations of the nature described above.

Sellers shall immediately notify Buyer regarding any contact between either Seller or its respective management or representatives and any other party regarding any such offer or proposal or related inquiry.
