No Partnership, Joint Venture or Agency. Neither this Agreement nor any of the Loan Documents shall in any respect be interpreted, deemed or construed as making the Lender a partner or joint venturer with the Borrower, nor shall they be interpreted, deemed or construed as making the Lender the agent of representative of the Borrower, and the Borrower agrees not to make any contrary assertion, contention, claim or counterclaim in any action, suit or other legal proceeding involving the Lender.
