Common use of No Partnership, Joint Venture or Agency Clause in Contracts

No Partnership, Joint Venture or Agency. The Parties are entering this Agreement as independent contractors, and this Agreement will not be construed to create a partnership, joint venture, agency or employment relationship between them. Neither Party will represent itself to be an employee or agent of the other or enter into any agreement or legally binding commitment or statement on the other's behalf of or in the other's name. Further, each Party shall be completely responsible for the payment of all sums of money which may be due at any time to its own employees, contractors, vendors, agents and representatives, and for all other claims made by such Persons against another Party. No Party shall for any reason be liable under this Agreement in any way for another Party's termination of employment or other relationships with such Persons.
