No Partnership, Joint Venture or Trust. The Parties are not and shall not be deemed to be partners or joint venturers with one another and nothing herein shall be construed so as to impose any liability as such on any of them. The Parties agree that ECT shall perform its obligations under this Agreement as an independent contractor (with its duties and obligations as expressly provided herein) for and on behalf of the Fund, and it is acknowledged and agreed that only where ECT undertakes execution of contracts or other instruments for and on behalf of the Fund may ECT then be acting as an agent of the Fund. In no circumstances shall ECT be, or be deemed to be, a fiduciary or trustee for any Person, whether or not a Party, in connection with the discharge by ECT of such duties and obligations.

In no circumstances shall the Administrator be, or be deemed to be, a fiduciary or trustee for any Person, whether or not a Party, in connection with the discharge by the Administrator of such Administrative Services.

The Parties agree that the engagement(s) hereunder are on the basis of independent contractor relationships (with the related duties and obligations as expressly provided herein). In no circumstances shall any Party be, or be deemed to be, a fiduciary or trustee for any Person, whether or not a Party, in connection with the discharge by such Party of its obligations and responsibilities hereunder or any document executed in connection herewith.

The Parties agree that KMCI shall perform the Services as an independent contractor (with its duties and obligations as expressly provided herein) for and on behalf of the KM Canada Group, and it is acknowledged and agreed that only where KMCI undertakes execution of contracts or other instruments for and on behalf of the KM Canada Group (in accordance with Section 2.4(a)) may KMCI then be acting as an agent of the applicable member of the KM Canada Group. In no circumstances shall KMCI be, or be deemed to be, a fiduciary or trustee for any Person, whether or not a Party, in connection with the discharge by KMCI of such Services.

The Parties agree that OP-CO shall perform its duties and obligations under this Agreement as an independent contractor for and on behalf of IARU, and it is acknowledged and agreed that only where OP-CO undertakes execution of contracts or other instruments for and on behalf of IARU that OP-CO will be acting as an agent of IARU. In no circumstances shall OP- CO be, or be deemed to be, a fiduciary or trustee for any Person, whether or not a Party, in connection with the discharge by it of its duties and obligations hereunder.
