No Pending Acquisitions. Except for this Agreement, Frankfort First is not a party to or bound by any agreement, undertaking or commitment with respect to an Acquisition on the date of this Agreement.
No Pending Acquisitions. Except for this Agreement, First Federal is not a party to or bound by any agreement, undertaking or commitment with respect to an Acquisition on the date of this Agreement.
No Pending Acquisitions. Except for this Agreement and the Confidentiality Agreement dated July 10, 2001 between Parent and the Company (the "Confidentiality Agreement"), the Company is not a party to or bound by any agreement, undertaking or commitment with respect to the acquisition of the capital stock or assets of another Person.
No Pending Acquisitions. Except for this Agreement and previously executed confidentiality agreements, the Company is not a party to or bound by any agreement, undertaking or commitment with respect to an Acquisition Transaction.
No Pending Acquisitions. Except for this Agreement, FMS is not a party to or bound by any agreement, undertaking or commitment with respect to an Acquisition on the date of this Agreement.
No Pending Acquisitions. Except for this Agreement, no Seller is a party to or bound by any agreement to effect an Acquisition.
No Pending Acquisitions. Other than as disclosed in Section 4.01(y) of the Buyer Disclosure Letter, the Buyer (or any of its Subsidiaries) has not approved, is not contemplating, nor has it entered into any agreement in respect of, and to the knowledge of the Buyer (or any of its Subsidiaries): (i) the purchase of any property material to the Buyer or material assets or any interest therein or the sale, transfer or other disposition of any material property of the Buyer or material assets or any interest therein currently owned, directly or indirectly, by the Buyer, whether by asset sale, transfer or sale of shares or otherwise; or (ii) the change of control (by sale or transfer of shares or sale of all or substantially all of the property and assets of the Buyer) of the Buyer (or any of its Subsidiaries).
No Pending Acquisitions. Except for this Agreement, neither DunC nor a ----------------------- DunC Subsidiary is a party to or bound by any agreement, undertaking or commitment with respect to an Acquisition on the date of this Agreement.
No Pending Acquisitions. Except for this Agreement and the letter agreements dated October 28, 1999 and December 20, 1999 between Parent and the Company (collectively the "CONFIDENTIALITY AGREEMENT"), neither the Company nor its Subsidiaries is a party to or bound by any agreement, undertaking or commitment with respect to the acquisition of the capital stock or assets of another Person.
No Pending Acquisitions. Except for this Agreement, First Northern is not a party to or bound by any agreement, undertaking or commitment with respect to an Acquisition on the date of this Agreement.
