Sale of Shares definition

Sale of Shares means a sale or other transaction pursuant to which a Person that did not directly or indirectly own shares or other equity in the Corporation prior to such sale or other transaction acquires all of the outstanding shares and other outstanding equity interests in the Corporation.
Sale of Shares. Capital gains tax ("CGT") will arise in relation to the new options in the same way as the existing options. Thus on the sale of shares received following the exercise of your new option, CGT will be payable in respect of the excess of the proceeds you receive over the market value of RSA's shares at the time you exercise your new option.
Sale of Shares. None of the Lead Investors could dispose of any of its interest in Four Seasons, directly or indirectly, (other than to a person who controls, was controlled by, or was under common control and economic ownership with, the Lead Investor) until after the second anniversary of the closing of the Transaction.

More Definitions of Sale of Shares

Sale of Shares means a sale of all of the issued Ordinary Shares in the Company. SAME TERMS AND CONDITIONS means having the benefit of the same terms and conditions as each other recipient of Non- cash Proceeds, but for the avoidance of doubt on the basis that where any minority protection rights (other than rights conferred by law or generally applying across all instruments in the same class of Non- cash Proceeds), special consent or voting rights or veto or blocking rights apply in relation to any Securities or debt included in the Non-cash Proceeds held by SPV, Limited or Head they may be exercised as determined by a simple majority of the votes of the persons entitled to exercise those rights.
Sale of Shares means selling of the shares by the Employee after allotment.
Sale of Shares means the issued registered Ordinary Shares of the Seller to include all subject matter hereinafter referred to as "Shares" or "Sale Shares" or "Ordinary Shares" of the Seller listed on Annexure "1";
Sale of Shares means the sale of an aggregate amount of 282 828 ordinary no par value shares in the issued share capital of WeBuyCars (which will be subdivided prior to Listing) to the Purchasers in terms of the Sale Agreement;
Sale of Shares shall have the meaning ascribed to that term in SECTION 2.3.1.

Related to Sale of Shares

  • class of Shares refers to the division of Shares into two or more classes as provided in Article III, Section 1 hereof;

  • Share Sale means the sale of (or the grant of a right to acquire or to dispose of) any of the shares in the capital of the Company (in one transaction or as a series of transactions) which will result in the purchaser of those shares (or grantee of that right) and persons Acting in Concert with him together acquiring a Controlling Interest in the Company, except where following completion of the sale the shareholders and the proportion of shares held by each of them are the same as the shareholders and their shareholdings in the Company immediately prior to the sale;

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Ordinary Shares shall have the meaning given in the Recitals hereto.

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Common Shares means the common shares in the capital of the Corporation;

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Class A Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Plan Shares means the total number of Common Shares which may be reserved for issuance as Optioned Shares under the Plan as provided in §2.2;

  • Company Convertible Securities means, collectively, any other options, warrants or rights to subscribe for or purchase any capital shares of the Company or securities convertible into or exchangeable for, or that otherwise confer on the holder any right to acquire any capital shares of the Company.
