Common use of No Pending Litigation Clause in Contracts

No Pending Litigation. There are not any actions, suits, proceedings (whether or not purportedly on behalf of the Borrower or any Guarantor or any other Subsidiary) or investigations pending or, to the knowledge of the Borrower, threatened against the Borrower, any Guarantor or any other Subsidiary or any basis therefore which reasonably could be expected to have a Material Adverse Effect, or which question the validity of this Agreement, the Notes or other documents required by this Agreement, or any action taken or to be taken pursuant to any of the foregoing.

There are not any actions, suits, proceedings (whether or not purportedly on behalf of the Borrower or any Guarantor Loan Party or any other Subsidiary) or investigations pending or, to the knowledge of the any Borrower, threatened against the any Borrower, any Guarantor or any other Subsidiary or any basis therefore which reasonably could be expected to have a Material Adverse Effect, or which question the validity of this Agreement, the Notes other Loan Documents or other documents required by this Agreement, or any action taken or to be taken pursuant to any of the foregoing.
