The Seller and all members of the Group have not ever maintained, established, sponsored, participated in or contributed to any employee pension benefit plan (as defined Section 3(2) of ERISA) which was, or is, subject to Part 3 of Subtitle B of Title I of ERISA, Title IV of ERISA or Section 412 of the Code, and neither the Seller nor any member of the Group has incurred, or expects to incur, any liability under Title IV of ERISA.
