The Selling Unitholder has not taken and will not take, directly or indirectly, any action designed to or that has constituted or that could reasonably be expected to cause or result in the stabilization or manipulation of the price of any security of the Partnership or to facilitate the sale or resale of the Units, and the Selling Unitholder has not distributed any prospectus or other offering material in connection with the offering of the Units.
