No Purchase Rights. Tenant has no option, right of first refusal, right of first offer on sale, or other right to purchase all or any portion of the Premises or the Project.
No Purchase Rights. Other than under the Shareholders Agreement, no Person has any written or oral agreement or option or any right or privilege (whether by law, pre-emptive, contractual or otherwise) capable of becoming an agreement or option, including securities, warrants or convertible obligations of any kind, for:
3.2.12.1 the purchase of any securities of the Corporation; or
3.2.12.2 the purchase of any of the assets of the Corporation, other than the Excluded Assets or in the ordinary course of the Business.
No Purchase Rights. No Person (other than Buyer under this Agreement) holds a right to purchase any Asset, including any right of first refusal or right of first offer.
No Purchase Rights. No person has an option to purchase all or any portion of the Property (including, without limitation, the Membership Interests), other than Buyer.
No Purchase Rights. Etc. Except for potential transactions particulars of which are set out in subsection 2(f) and in the Gold Fields Disclosure Letter (the "Permitted Gold Fields Transactions"), no person has any agreement or option or any right or privilege capable of becoming an agreement or option for the purchase from Gold Fields or any of the Vendors, directly or indirectly, of any shares or other securities of any of the Acquired Companies or from any Acquired Company of any assets which, individually or in the aggregate, are material to the Acquired Companies taken as a whole.";
No Purchase Rights. Except as set forth in Schedule 3.17 (the agreements listed therein are being referred to as the “Purchase Rights”), in the Organizational Documents of any Non-Core Subsidiary, or in the Existing Loan Documents, no Core Subsidiary is bound by any contract for the sale of any Core Property that is outstanding or any outstanding rights of first refusal, rights of first offer, buy-sell rights or options to purchase any of the Core Properties or any direct ownership in the Core Properties or portion thereof.
No Purchase Rights. As of the date hereof, Seller has not granted any option rights or rights of first refusal with respect to the Property.
No Purchase Rights. Accept as disclosed in this Agreement, no Person has any written or oral agreement or option or any right or privilege (whether by Law, pre-emptive, contractual or otherwise) capable of becoming an agreement or option, for:
4.2.11.1 the purchase of any Common Shares; or
4.2.11.2 the purchase of any of the assets of PlayBox, other than in the ordinary course of its Business.
No Purchase Rights. Except as disclosed in the Agreement, no Person has any written or oral agreement or option or any right or privilege (whether by Law, pre-emptive, contractual or otherwise) capable of becoming an agreement or option, including HPT Shares, warrants or convertible obligations of any kind, for:
4.4.14.1 the purchase of any HPT Shares of HPT; or
4.4.14.2 other than PlayBox, the purchase of any of the assets of HPT, other than in the ordinary course of its Business.
No Purchase Rights. Tenant has no option to purchase, or right of first refusal to purchase, the Premises, the Property or any interest therein (if none, indicate so by writing "NONE" below):
