Common use of No Recordation Necessary Clause in Contracts

No Recordation Necessary. This Agreement and each Note, if any, is in proper legal form under the law of the jurisdiction in which such Additional Borrower is organized and existing for the enforcement hereof or thereof against such Additional Borrower under the law of such jurisdiction, and to ensure the legality, validity, enforceability or admissibility in evidence of this Agreement and any such Note, subject to customary qualifications and limitations. It is not necessary to ensure the legality, validity, enforceability or admissibility in evidence of this Agreement and any such Note that this Agreement, any Note or any other document be filed, registered or recorded with, or executed or notarized before, any court or other authority in the jurisdiction in which such Additional Borrower is organized and existing or that any registration charge or stamp or similar tax be paid on or in respect of this Agreement, any Note or any other document, except (x) for any such filing, registration or recording, or execution or notarization or payment of any registration charge or stamp or similar tax as has been made or is not required to be made until this Agreement, any Note or any other document is sought to be enforced or that is required to perfect the grant of any security or is otherwise required pursuant to the Loan Documents and (y) for any charge or tax as has been timely paid.

This Agreement and each Note, if any, of the other Credit Documents executed by a Guarantor is in proper legal form under the law of the jurisdiction in which such Additional Borrower Guarantor is organized and existing for the enforcement hereof or thereof against such Additional Borrower Guarantor under the law of such jurisdiction, and to ensure the legality, validity, enforceability enforceability, priority or admissibility in evidence of this Agreement and any such Note, subject to customary qualifications and limitationsother Credit Documents. It is not necessary to ensure the legality, validity, enforceability enforceability, priority or admissibility in evidence of this Agreement and or any such Note other Credit Document executed by a Guarantor that this Agreement, any Note other Credit Document or any other document be filed, registered or recorded with, or executed or notarized before, any court or other authority in the jurisdiction in which such Additional Borrower Guarantor is organized and existing or that any registration charge or stamp or similar tax be paid on or in respect of this Agreement, any Note other Credit Document or any other document, except (x) for any such filing, registration or recording, or execution or notarization or payment of any registration charge or stamp or similar tax notarization, as has been made or is not required to be made until this Agreement, any Note other Credit Document or any other document is sought to be enforced or that is required to perfect the grant of any security or is otherwise required pursuant to the Loan Documents and (y) for any charge or tax as has been timely paid.
