No Regulatory Impediment. Excluding the requirements of the HSR Act, Purchaser is not aware of any fact relating to its business, operations, financial condition or legal status that might materially impair its ability to obtain, on a timely basis, all consents, authorizations, orders, approvals and Permits from, and make all necessary filings and registrations with and all notices to, Governmental Authorities necessary for the consummation of the transactions contemplated hereby.
