No Reliance on Documents. Except as expressly stated herein, Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by Seller to Purchaser in connection with the transaction contemplated hereby. Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Except as expressly stated hereinset forth in this Agreement, Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by or on behalf of Seller or its brokers to Purchaser in connection with the transaction contemplated herebyhereby including, without limitation, the Reports, material available in the E-Room, and other Seller Due Diligence Materials, provided, however, that Seller shall not intentionally alter any material, data or information for the purpose of misleading Purchaser. Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (c) except for matters expressly set forth in this Agreement, neither Seller, Seller nor any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or other materials provided to Purchaser in verbal communicationconnection with this Agreement.

Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property Land and Improvements which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property Land and Improvements and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communicationreport.

Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communication.

Purchaser Buyer acknowledges and agrees that all materials, data and information delivered by Seller Sellers (or their brokers, agents, representatives or advisors) to Purchaser Buyer in connection with the transaction transactions contemplated hereby are provided to Purchaser Buyer as a convenience only and that any reliance on or use of such materials, data or information by Purchaser Buyer shall be at the sole risk of PurchaserBuyer, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser Buyer acknowledges and agrees that (a) any environmental or other report with respect to the any Property which is delivered by Seller Sellers to Purchaser Buyer shall be for general informational purposes only, (b) Purchaser Buyer shall not have any right to rely on any such report delivered by Seller Sellers to PurchaserBuyer, but rather will rely on its own inspections and investigations of the Property Properties and any reports commissioned by Purchaser Buyer with respect thereto, and (c) neither Sellernone of the Sellers, any affiliate Affiliate of Seller Sellers nor the person or entity Person which prepared any such report delivered by Seller Sellers to Purchaser Buyer shall have any liability to Purchaser Buyer for any inaccuracy in or omission from any such report or in verbal communicationreport.

Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the any Property which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property Properties and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser Purchaser, shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communicationreport.

No Reliance on Documents. Except as expressly stated set forth in Section 5.1 herein, Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by Seller to Purchaser in connection with the transaction contemplated hereby. Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communication.

No Reliance on Documents. Except as expressly stated herein, Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by Seller to Purchaser in connection with the transaction contemplated herebyhereby including, without limitation, any materials provided to Purchaser by Broker. Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser shall will be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communicationreport.

No Reliance on Documents. Except as expressly stated hereinin this Agreement, including any Seller’s Representation, or in any document delivered by Seller to Purchaser in connection with the Closing, Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by Seller to Purchaser in connection with the transaction contemplated hereby. Purchaser acknowledges and agrees that all materialsWithout limiting the generality of the foregoing provisions, data and information but except as otherwise expressly stated in this Agreement or in any document delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisionsClosing, Purchaser acknowledges and agrees that (ai) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser shall be for general informational purposes only, (bii) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (ciii) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communicationreport.

No Reliance on Documents. Except as expressly stated hereinfor the Excepted Claims (hereinafter defined), Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by Seller to Purchaser in connection with the transaction contemplated hereby. Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated hereinfor the Excepted Claims. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will shall rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report report. The provisions of this Section 9.1 shall survive Closing or in verbal communicationany termination of this Agreement.

No Reliance on Documents. Except as expressly stated hereinherein or in any document to be executed by Seller and delivered by Seller to Purchaser at Closing, Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by Seller to Purchaser in connection with the transaction contemplated hereby. Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated hereinherein or in any document to be executed by Seller and delivered by Seller to Purchaser at Closing. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) that, except as expressly stated herein or in any environmental or other report with respect document to the Property which is be delivered by Seller to Purchaser shall be for general informational purposes onlyat Closing, (ba) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and inspections, investigations of and/or tests on, at or under the Property and any reports commissioned by Purchaser with respect thereto, and (cb) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from in any such report or in verbal communicationreport.

No Reliance on Documents. Except as expressly stated hereinherein and all Schedules and Exhibits attached hereto, Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by Seller to Purchaser in connection with the transaction contemplated hereby. Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communication.

No Reliance on Documents. Except as expressly stated hereinset forth in this Agreement, Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by or on behalf of Seller or its brokers to Purchaser in connection with the transaction contemplated herebyhereby including, without limitation, the Reports and other Seller Due Diligence Materials, provided, however, that Seller shall not intentionally alter any material, data or information for the purpose of misleading Purchaser. Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (c) except for matters expressly set forth in this Agreement, neither Seller, Seller nor any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or other materials provided to Purchaser in verbal communicationconnection with this Agreement.

No Reliance on Documents. Except as expressly stated herein, Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by Seller to Purchaser in connection with the transaction contemplated hereby. Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (ai) any environmental reports or other report information with respect to the Property which is are delivered or otherwise made available by Seller to Purchaser shall be for general informational purposes only, (bii) Purchaser shall not have any right to rely on any such report reports and/or information delivered or otherwise made available by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (ciii) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report reports and/or information delivered or otherwise made available by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communicationreports and/or information.

No Reliance on Documents. Except as expressly stated herein, Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by Seller to Purchaser in connection with the transaction contemplated hereby. Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that except as otherwise expressly stated herein, (a) any environmental or other report with respect to the Property Premises which is delivered by Seller to Purchaser Purchaser, including, without limitation, the Environmental Reports, shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property Premises and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communication.

No Reliance on Documents. Except as expressly stated herein, Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by Seller to Purchaser in connection with the transaction contemplated hereby. Purchaser acknowledges and agrees that that, except as expressly stated herein, all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that that, except as expressly stated herein, (a) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will shall rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report report. The provisions of this Section 9.1 shall survive Closing or in verbal communicationany termination of this Agreement.

No Reliance on Documents. Except as expressly stated herein, Seller makes the Partnership, Astor and Equitable (collectively, the "DISCLAIMING PARTIES") make no representation representations or warranty warranties as to the truth, accuracy or completeness of any materials, data or information delivered by Seller the Disclaiming Parties, the Property Manager or any other advisor or party representing or advising the Disclaiming Parties with respect to Purchaser this transaction (collectively, along with the Disclaiming Parties and the Property Manager, the "DISCLAIMING DILIGENCE TEAM"), in connection with the transaction contemplated hereby. Purchaser Investor acknowledges and agrees that all materials, data and information delivered by Seller the Disclaiming Diligence Team to Purchaser Investor in connection with the transaction contemplated hereby are provided to Purchaser Investor as a convenience only and that any reliance on or use of such materials, data or information by Purchaser Investor shall be at the sole risk of PurchaserInvestor, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser Investor acknowledges and agrees that (a) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser the Disclaiming Diligence Team shall be for general informational purposes only, (b) Purchaser Investor shall not have any right to rely on any such report delivered by Seller the Disclaiming Diligence Team to PurchaserInvestor, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser Investor with respect thereto, and (c) neither Sellerthe Disclaiming Parties, nor any affiliate of Seller affiliates thereof, nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser Investor for any inaccuracy in or omission from any such report or in verbal communicationreport.

No Reliance on Documents. Except as expressly stated herein, Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by Seller to Purchaser in connection with the transaction contemplated hereby. Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communication.Purchaser

The provisions of this Section 9.1 shall survive Closing or in verbal communicationany termination of this Agreement.

Except as expressly stated hereinherein (including any documents referenced or described in the Exhibits attached hereto), Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by Seller to Purchaser in connection with the transaction contemplated hereby. Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communicationreport.

Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property Properties which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property Properties and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communicationreport.

Except as may be expressly stated hereinprovided herein or in any of the Seller Closing Documents, Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by Seller Seller, or Seller’s agents, if applicable, to Purchaser Buyer in connection with the transaction contemplated hereby. Purchaser Buyer acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser Buyer in connection with the transaction contemplated hereby are provided to Purchaser Buyer as a convenience only and that any reliance on or use of such materials, data or information by Purchaser Buyer shall be at the sole risk of PurchaserBuyer, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser Buyer acknowledges and agrees that (ai) any environmental or physical, or geotechnical report or other report with respect to the Property which is delivered by Seller to Purchaser Buyer shall be for general informational purposes only, (bii) Purchaser Buyer shall not have any right to rely on any such report delivered by Seller to PurchaserBuyer, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser Buyer with respect thereto, and (ciii) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser Buyer shall have any liability to Purchaser Buyer for any inaccuracy in or omission from any such report or in verbal communicationreport.

Without limiting the generality of the foregoing provisions, Purchaser except as otherwise expressly stated herein, Buyer acknowledges and agrees that (ai) any environmental or physical, or geotechnical report or other report with respect to the Property which is delivered by Seller to Purchaser Buyer shall be for general informational purposes only, (bii) Purchaser Buyer shall not have any right to rely on any such report delivered by Seller to PurchaserBuyer, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser Buyer with respect thereto, and (ciii) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser Buyer shall have any liability to Purchaser Buyer for any inaccuracy in or omission from any such report or in verbal communicationreport.

Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communicationreport.

Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communicationreport.

No Reliance on Documents. Except as expressly stated hereinherein and except as otherwise expressly stated in the Sellers’ Closing Documents, no Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by by, or behalf of, a Seller to Purchaser in connection with the transaction contemplated herebyhereby (including, without limitation, all materials, data or information provided by the Broker to Purchaser or otherwise posted on any web site or extranet site by the Broker). Purchaser acknowledges and agrees that all materials, data and information delivered by Seller by, or on behalf of, Sellers to Purchaser in connection with the transaction contemplated hereby (collectively, the “Property Documents”) are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated herein. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property which is delivered by by, or on behalf of, a Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by by, or on behalf of, such Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property Properties and any reports commissioned by Purchaser with respect thereto, and (c) neither no Seller, any affiliate of a Seller nor the person or entity which prepared any such report delivered by a Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communication.

No Reliance on Documents. Except as expressly stated herein, Seller makes no representation or warranty as to the truth, accuracy or completeness of any materials, data or information delivered by Seller to Purchaser in connection with the transaction contemplated hereby. Purchaser acknowledges and agrees that all materials, data and information delivered by Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a 26 DOCSBHM\2172820\7 NAI-1502721402v4 convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated hereinherein or in the Closing documents. Without limiting the generality of the foregoing provisions, except to the extent otherwise expressly stated herein or in the Closing documents, Purchaser acknowledges and agrees that (a) any environmental or other report with respect to the Property which is delivered by Seller to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered by Seller to Purchaser, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, any affiliate of Seller, any Seller Parties nor the person or entity which prepared any such report delivered by Seller to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communicationreport.

Purchaser acknowledges and agrees that all materials, data and information delivered or made available by any Seller to Purchaser in connection with the transaction contemplated hereby are provided to Purchaser as a convenience only and that any reliance on or use of such materials, data or information by Purchaser shall be at the sole risk of Purchaser, except as otherwise expressly stated hereinherein or in any document delivered by any one or more of the Sellers at the Closing. Without limiting the generality of the foregoing provisions, Purchaser acknowledges and agrees that that, except as expressly set forth herein or in any document delivered by any one or more of the Sellers at the Closing, (a) any environmental or other report with respect to the Property which is delivered or made available by Seller Sellers to Purchaser shall be for general informational purposes only, (b) Purchaser shall not have any right to rely on any such report delivered or made available by Seller Sellers to Purchaser, but rather will rely on its own inspections and investigations of the Property and any reports commissioned by Purchaser with respect thereto, and (c) neither Seller, no Seller nor any affiliate of any Seller nor the person or entity which prepared any such report delivered or made available by Seller Sellers to Purchaser shall have any liability to Purchaser for any inaccuracy in or omission from any such report or in verbal communicationcommunication regarding such report.
