No Restriction on Transfer. The Member may assign, sell, pledge, encumber, give or otherwise transfer, dispose of or alienate (“Transfer”) all or any portion of its Membership Interest as allowable by the LLC Act and applicable law.
No Restriction on Transfer. No Contract requires the prior -------------------------- written consent of an Obligor or contains another restriction relating to the transfer or assignment of rights of payment under such Contract which is legally enforceable (other than a consent or waiver of such restriction that has been obtained prior to the Closing Date).
No Restriction on Transfer. For the avoidance of doubt, the Stockholder may transfer Owned Shares from time to time, provided, that, during the term of this Agreement, the Stockholder hereby agrees to vote all remaining Owned Shares in accordance with Section 1 hereof.

The parties agree and acknowledge that nothing in this Agreement shall, directly or indirectly, restrict Stockholder's ability to offer for sale, sell, transfer, tender, pledge, encumber, assign or otherwise dispose of, or enter into any contract, option or other arrangement or understanding with respect to or consent to the offer for sale, transfer, tender, pledge, encumbrance, assignment or other disposition (any of the foregoing, a "Disposition") of, any or all of the Shares or any interest therein. A Disposition shall not constitute a violation of the Covenants, Representations and Warranties made herein, which shall be adjusted from time to time reflect any such Dispositions.
No Restriction on Transfer. There exists no restriction upon the sale and delivery of the Shares by the Company, nor is the Company required to obtain the approval of any person or governmental agency or organization to effect the sale of the Shares. The Shares are not subject to preemptive rights or any similar rights or any liens or encumbrances.
No Restriction on Transfer. To the best of Seller's knowledge, no Account or related Account Agreement requires the prior written consent of an Obligor or contains any other restriction relating to the transfer or assignment of rights of payment under such Account or Account Agreement (other than a consent or waiver of such restriction that has been obtained prior to the related purchase date).
No Restriction on Transfer. There are no current or past creditors of Seller to whom any law, rule or regulation requires the delivery of notice or from whom any form of consent is required in conjunction with undertaking the transactions contemplated by this Agreement. No bulk sale/transfer statute or law applies to the transaction contemplated hereby and Buyer will suffer no loss, cost or expense because of the non-compliance of the parties hereto with any bulk sale/transfer statute or law.
No Restriction on Transfer. The Member may Transfer its Membership Interest.
No Restriction on Transfer. Nothing in this Agreement shall limit the right of any Stockholder to sell, transfer, hypothecate, pledge or otherwise dispose of (collectively, "Transfer") any of the Subject Shares and no Transferee of any Subject Shares shall have any obligation hereunder.
No Restriction on Transfer. The Underlying Shares are not subject to any restrictions on transfer pursuant to the Company’s by-laws, Brazilian law or any agreement or other instrument to which the Company is a party that have not been effectively waived.
