There is no agreement (noncompete or otherwise), commitment, judgment, injunction, order, or decree to which Buyer is a party or otherwise binding on Buyer or its property which has or reasonably could be expected to have the effect of prohibiting or impairing any business practice of Buyer, any acquisition of property (tangible or intangible) by Buyer, or the conduct of the SOR Wheel Business.
