REPRESENTATIONS AND WARRANTIES OF OMAHA AND THE SHAREHOLDERS. Omaha and the Shareholders, each jointly and severally, represents and warrants to Bristol and Bristol Omaha as of the date hereof and as of the Closing Date as set forth below, subject only to the exceptions specifically disclosed in the schedules of Omaha and the Shareholders to be delivered to and agreed upon by Bristol and Bristol Omaha and attached hereto within fifteen (15) days after the date hereof (the "OMAHA SCHEDULES") (and unless the context indicates otherwise, all of such representations and warranties shall be deemed made with respect to Omaha, its subsidiaries and their respective predecessors).
