No Set-Off or Deduction. Every payment payable under this Agreement will be made in full without any set-off or counterclaim howsoever arising and will be free and clear of, without deduction of, or withholding for or on account of, any other amount which may be due and payable under this Agreement.

Subject to any specific written agreement from time to time between the Trustee, the Trust Manager and ABN, all payments under or in relation to this Agreement by any party whether of principal, interest or other amounts due hereunder and all accounts and deposits created by any party by or for the purposes of this Agreement, will be free of any set-off, counterclaim or combination of accounts on any account whatsoever, and will be without deduction or withholding for any present or future Taxes unless the payer is compelled by law to deduct or withhold the same, in which event the payer must pay to the recipient such additional amounts necessary to enable the recipient to receive, after all deductions and withholdings for such Taxes, a net amount equal to the full amount which would otherwise have been payable hereunder had no such deduction or withholding been required to be made. Nothing in this clause affects any payment due between the Trustee and ABN under the ISDA Master Agreement (which will govern any such payment).
No Set-Off or Deduction. All amounts due under the Agreement shall be paid in full by the party owing such amounts without set-off or deduction except where either party is to pay an amount to the other of them pursuant to this Agreement but has outstanding invoices or a judgment or decision of an arbitrator for a claim hereunder. If a party reasonably and in good faith disputes an amount to be paid hereunder, it may withhold only the portion of the amount due that is in dispute.

Unless expressly provided otherwise under the terms on which any Secured Moneys are owing, all payments by the Trustee in respect of a Secured Series Trust of any moneys forming part of the Secured Moneys in relation to that Secured Series Trust are to be free of any set-off or counterclaim and without deduction or withholding for any present or future Taxes unless the Trustee is compelled by law to deduct or withhold the same, in which event the Trustee will, subject to the Transaction Documents in relation to the Secured Series Trust, pay to the Security Trustee such additional amounts necessary to enable the Security Trustee to receive after all deductions and withholdings for such Taxes a net amount equal to the full amount which would otherwise have been payable under this Deed and any General Security Agreement had no such deduction or withholding been required to be made.”
