No Side Agreements. IES has not entered and will not enter into any agreement with any of the Founding Companies or any of the Stockholders of the Founding Companies or IES other than the Other Agreements and the agreements contemplated by each of the Other Agreements and the Registration Statement, including the employment agreements, leases and Indemnification Agreements referred to herein or entered into in connection with the transactions contemplated hereby and thereby.
