Common use of No Side Agreements Clause in Contracts

No Side Agreements. Neither VPI nor NEWCO has entered or will enter into any agreement with any of the Founding Companies or any of the stockholders of the Founding Companies or VPI other than the Other Agreements and the agreements specifically contemplated by each of the Other Agreements, including the employment agreements referred to therein, and none of VPI, NEWCO, their equity owners or affiliates have received any cash compensation or payments in connection with this transaction except for reimbursement of out-of-pocket expenses which are necessary or appropriate to this transaction.
