Common use of No Substitution Clause in Contracts

No Substitution. Institution and Principal Investigator may not reassign the conduct of the Trial to a different Principal Investigator without prior written authorization from Sponsor. Any replacement Principal Investigator will be required to agree to the terms and conditions of this Agreement in a separate writing. In the event Sponsor does not approve a replacement Principal Investigator, Sponsor or Syneos Health may terminate this Agreement in accordance with the Termination provisions below.

Sponsor and CRO acknowledge that Institution has right to terminate employment relationship with Principal Investigator and this will not be considered as breach of the Termination provisions belowAgreement.

Institution will notify Syneos and Sponsor promptly in writing in the event that the Principal Investigator is unable to continue serving as the Principal Investigator for this Trial. Sponsor and Institution will mutually agree in good faith on a replacement of the Principal Investigator to perform the Trial. Any replacement Principal Investigator will be required to agree to the terms and conditions of this Agreement in a separate writing. In the event Sponsor does not approve a replacement Principal Investigator, Sponsor or Syneos Health may terminate this Agreement in accordance with the Termination provisions below.
