Except with the prior written consent of Tyler, the Shareholders' registration rights under Section 10.2 shall not inure to the benefit of any person to whom any Shares are transferred, other than a spouse or descendant of a Shareholder ("Relative"), a trust solely for the benefit of a Shareholder or Relative, or a partnership all of the equity interests in which are directly or indirectly owned by a Shareholder or Relative.
