NO UNTRUE REPRESENTATIONS. To the knowledge of Seller and Shareholders, no representation or warranty by Seller or any Shareholder in this Agreement, and no Exhibit or certificate issued by officers or Directors of Seller or any Shareholder and furnished or to be furnished to PSC or Parent pursuant hereto, or in connection with the transactions contemplated hereby, contains or will contain any untrue statement of a material fact, or omits or will omit to state a material fact necessary to make the statements or facts contained therein not misleading. All information and information provided by Seller or the Shareholders for valuation of the Business by PSC and Parent is true, accurate and complete in all material respects.
