No Violation of Contractual Restrictions. Its execution, delivery and performance of the transaction contemplated by this Agreement and all other transaction documents it is to execute and deliver under the terms of this Agreement does not, to the best of its knowledge, conflict with or violate any agreement or instrument to which it is a party or by which it is bound, except any provision contains in agreements customary in the oil and gas industry relating to: (i) the preferential right to purchase all or any portion of the Assets; (ii) required consents to transfer and related provisions; (iii) maintenance of uniform interest provisions; and (iv) any other third-party approvals or consents contemplated by this Agreement. Should such violation or restriction, as the case may be, arise hereafter, not to exceed six (6) months from the Closing Date hereof, the Seller or Buyer, as the case may be, shall take definitive steps to correct such issue in a manner so as to accommodate the requirements hereof.
