It is not in violation of any Applicable Law, or judgment entered by any Governmental Instrumentality, which violations, individually or in the aggregate, would affect its performance of any obligations under this Agreement. There are no legal or arbitration proceedings or any proceeding by or before any Governmental Instrumentality, now pending or (to the best knowledge of Owner) threatened against Owner that, if adversely determined, could reasonably be expected to have a material adverse effect on the financial condition, operations, prospects or business, as a whole, of Owner, or its ability to perform under this Agreement.

No Violation of Law; Litigation. It is not in violation of any Applicable Law, Law or judgment entered by any Governmental Instrumentality, which violations, individually or in the aggregate, would affect its performance of any obligations under this Agreement. There are no legal or arbitration proceedings or any proceeding by or before any Governmental Instrumentality, now pending or (to the best knowledge of OwnerContractor) threatened against Owner Contractor that, if adversely determined, could reasonably be expected to have a material adverse effect on the financial condition, operations, prospects or business, as a whole, of OwnerContractor, or its ability to perform under this Agreement.

There are no legal or arbitration proceedings or any proceeding by or before any court or Governmental Instrumentality, Authority now pending or (to the best knowledge of Owner) threatened against Owner thatwhich, if adversely determined, could reasonably be expected to have a material adverse effect on the financial condition, operations, prospects or business, as a whole, of Owner, or its ability to perform its obligations under this Agreement.

There Except as Owner has disclosed in writing to Contractor prior to the Effective Date, there are no legal or arbitration proceedings or any proceeding by or before any Governmental InstrumentalityAuthority, now pending or (to the best knowledge of Owner) threatened against Owner thatwhich, if adversely determined, could reasonably be expected to have a material adverse effect on the financial condition, operations, prospects or business, as a whole, ability of Owner, or its ability Owner to perform under this Agreement.
