Common use of No Violation of Law; Litigation Clause in Contracts

No Violation of Law; Litigation. It is not in violation of any Applicable Laws or judgment entered by any Governmental Authority which violations, individually or in the aggregate, would materially and adversely affect its performance of any of its obligations under this Agreement. There are no legal or arbitration proceedings or any proceeding by or before any Governmental Authority now pending or (to the best knowledge of the Party) threatened against the Party which, if adversely determined, could reasonably be expected to have a material adverse effect on the ability of the Party to perform under this Agreement.
