Subject to the conditions, qualifications and exclusions set out in the Preliminary Offering Memorandum under the heading “Certain Canadian federal income tax considerations,” all interest, principal, premium, if any, additional amounts, if any, and other payments to be made by the Company under the Transaction Documents, will not, as of the Closing Date, be subject to withholding, duties, levies, charges or other deductions under the Income Tax Act (Canada) or under the laws and regulations of Ontario or British Columbia.
