Approvals and Other Consents. The Borrower will obtain (or cause to be obtained) all such governmental licenses, authorizations, consents, permits and approvals as may be required for (a) the Borrower to perform its obligations under this Agreement and the other Loan Documents and (b) except to the extent that failure to obtain (or cause to be obtained) such governmental licenses, authorizations, consents, permits and approvals would not be expected to have a Material Adverse Effect, the operation of each Vessel in compliance with all applicable laws.
Approvals and Other Consents. The Administrative Agent shall have received a certificate of an Authorized Officer of the Borrower certifying that all: (i) Governmental Approvals set forth in Schedule 5.1(i) with respect to the Financing Documents and the Acquisition and the conduct of the business of the Borrower and its Subsidiaries, except for such Government Approvals relating to but not material to the conduct of the business of the Borrower and its Subsidiaries, are in full force and effect and, except as disclosed in such Schedule, not currently being appealed, and (ii) other consents, if any, necessary for the Credit Parties’ execution, delivery and performance of the Financing Documents and all Credit Parties’ participation in the Acquisition have been obtained and are in full force and effect.
