Seller shall not indemnify the Buyer Indemnified Parties, and the Buyer Indemnified Parties shall not be entitled to recover any amount for any Buyer Claims under Section 10.2(b) arising from any subsurface sampling, analysis or investigation by or on behalf of Buyer after the Closing Date unless such sampling, analysis, or investigation is: (1) required by any Environmental Law; (2) in response to a request of a Governmental Authority pursuant to its authority under Environmental Law; (3) conducted in response to an Environmental Claim; or (4) in response to a reasonable due diligence request from the owners of such Leased Real Property.
No Xxxx. Xx other pledge or control agreement is presently in effect for the benefit of any other creditor or party (except the Secured Parties) with respect to the Deposit Accounts.
No Xxxx. Neither CASI nor any of their respective Affiliates, have filed any XXXx with a Governmental Authority in the Field in the Territory for any Licensed Compound or Licensed Product.
No Xxxx. Xxxxxx xx xontemplated hereby, none of the Company Stockholders, the Company, nor any agent, officer, director, trustee or any representative of any of the foregoing will, during the period commencing on the date of this Agreement and ending with the earlier to occur of the Closing Date or the termination of this Agreement in accordance with its terms, directly or indirectly:
(a) solicit or initiate the submission of proposals or offers from any person for,
(b) participate in any discussions pertaining to, or
(c) furnish any information to any person other than Pentacon, TIA Acquisition, the Company or their authorized agents relating to, any acquisition or purchase of all or a material amount of the assets of, or any equity interest in, the Company or a merger, consolidate or business combination of the Company.
