Non-Compete and Proprietary Rights. Perform duties as or for a Competitor of UGSI (i) which are in either the industry(ies) or geographic location(s) in which Executive performed services for UGSI in the most recent five years of Executive's UGSI employment and which are the same or substantially similar to the duties performed by Executive at UGSI; or (ii) which involve the use of any Confidential Information or Innovations (as defined in paragraph 5.8, below) which Executive has received, obtained or acquired during, or as a consequence of, Executive's employment with UGSI; or
