Common use of Non-Compliance with Provisions of This Agreement Clause in Contracts

Non-Compliance with Provisions of This Agreement. (a) Failure by the Company to comply with or to perform any covenant set forth in Sections 10.1.5(a), 10.5 through 10.9, 10.12, 10.16 or 10.17; (b) failure by the Company to comply with or to perform any covenant set forth in Section 10.10 and continuance of such failure for ten Business Days after an Executive Officer obtains actual knowledge; or (c) failure by the Company to comply with or to perform any other provision of this Agreement (and not constituting an Event of Default under any of the other provisions of this Section 12) and continuance of such failure for 30 days after written notice thereof to the Company from the Administrative Agent or any Lender (acting through the Administrative Agent).

Non-Compliance with Provisions of This Agreement. (ai) Failure by the Company to comply with or to perform any covenant set forth in Sections 10.1.5(a7.01(e)(i), 10.5 7.05 (with respect to the Borrowers), 7.06 through 10.97.09, 10.127.12, 10.16 7.16, 7.17, 7.18, 7.20 or 10.177.21; (bii) failure by the Company to comply with or to perform any covenant set forth in Section 10.10 Sections 7.01(a), 7.01(b), 7.01(c), 7.01(e) (to the extent not covered by clause (i) above), 7.05 (to the extent not covered by clause (i) above), 7.10 or 7.11 and continuance of such failure for ten Business Days days after an Executive Officer obtains actual knowledge; or (ciii) failure by the Company to comply with or to perform any other provision of this Agreement (and not constituting an Event of Default under any of the other provisions of this Section 129.01) and continuance of such failure for 30 days after written notice thereof to the Company from the Administrative Agent or any Lender (acting through the Administrative Agent).

(a) Failure by the Company to comply with or to perform any covenant set forth in Sections 10.1.5(a), 10.5 through 10.2(b), 10.5, 10.6.1, 10.6.2, 10.6.3, 10.7, 10.9, 10.11, 10.12, 10.16 10.14, 10.18 through 10.23 or 10.1710.27; (b) failure by the Company to comply with or to perform any covenant set forth in Section 10.10 10.8, 10.10, 10.13, 10.25 or 10.26 and continuance of such failure for ten Business Days 10 days after an Executive Officer obtains actual knowledgenotice thereof to the Company from the Agent or any Lender; or (c) failure by the Company to comply with or to perform any other provision of this Agreement (and not constituting an Event of Default under any of the other provisions of this Section 12) and continuance of such failure for 30 days after written notice thereof to the Company from the Administrative Agent or any Lender (acting through the Administrative Agent)Lender.

(ai) Failure by the Company to comply with or to perform any covenant set forth in Sections 10.1.5(a7.01(e), 10.5 7.05 through 10.97.09, 10.127.12, 10.16 7.16, 7.17 or 10.177.18; (bii) failure by the Company to comply with or to perform any covenant set forth in Section 10.10 Sections 7.01(a), 7.01(b), 7.01(c), 7.10 or 7.11 and continuance of such failure for ten Business Days days after an Executive Officer obtains actual knowledge; or (ciii) failure by the Company to comply with or to perform any other provision of this Agreement (and not constituting an Event of Default under any of the other provisions of this Section 129.01) and continuance of such failure for 30 days after written notice thereof to the Company from the Administrative Agent or any Lender (acting through the Administrative Agent).
