Common use of Non-Compliance with Provisions of This Agreement Clause in Contracts

Non-Compliance with Provisions of This Agreement. (a) Failure by the Company to comply with or to perform any covenant set forth in Sections 10.1.5(a), 10.5 through 10.9, 10.12 or 10.17; (b) failure by the Company to comply with or to perform any covenant set forth in Sections 10.10 or 10.11 and continuance of such failure for ten days after an Executive Officer obtains actual knowledge; or (c) failure by the Company to comply with or to perform any other provision of this Agreement (and not constituting an Event of Default under any of the other provisions of this Section 12) and continuance of such failure for 30 days after written notice thereof to the Company from the Administrative Agent or any Bank (acting through the Administrative Agent).

(a) Failure by the Company to comply with or to perform any covenant set forth in Sections 10.1.5(a), 10.5 through 10.9, 10.12 10.12, 10.16 or 10.17; (b) failure by the Company to comply with or to perform any covenant set forth in Sections 10.10 or 10.11 and continuance of such failure for ten days after an Executive Officer obtains actual knowledge; or (c) failure by the Company to comply with or to perform any other provision of this Agreement (and not constituting an Event of Default under any of the other provisions of this Section 12) and continuance of such failure for 30 days after written notice thereof to the Company from the Administrative Agent or any Bank (acting through the Administrative Agent).

(a) Failure by the Company to comply with or to perform any covenant set forth in Sections 10.1.5(a), SECTIONS 10.5 through 10.910.13, 10.12 10.15 or 10.17; (b) failure by the Company to comply with or to perform any covenant set forth in Sections 10.10 or 10.11 and continuance of such failure for ten days after an Executive Officer obtains actual knowledge10.16; or (cb) failure by the Company to comply with or to perform any other provision of this Agreement (and not constituting an Event of Default under any of the other provisions of this Section SECTION 12) and continuance of such failure described in this CLAUSE (B) for 30 days (or, in the case of SECTION 10.14, five Business Days) after written notice thereof to the Company from the Administrative Agent or any Bank (acting through the Administrative Agent)Bank.

(a) Failure by the Company to comply with or to perform any covenant set forth in Sections 10.1.5(a), 10.5 through 10.2(b), 10.5, 10.6.1, 10.6.2, 10.6.3, 10.7, 10.9, 10.12 10.11, 10.12, 10.14, 10.18 through 10.23 or 10.1710.27; (b) failure by the Company to comply with or to perform any covenant set forth in Sections 10.10 Section 10.8, 10.10, 10.13, 10.25 or 10.11 10.26 and continuance of such failure for ten 10 days after an Executive Officer obtains actual knowledgenotice thereof to the Company from the Agent or any Lender; or (c) failure by the Company to comply with or to perform any other provision of this Agreement (and not constituting an Event of Default under any of the other provisions of this Section 12) and continuance of such failure for 30 days after written notice thereof to the Company from the Administrative Agent or any Bank (acting through the Administrative Agent)Lender.

Non-Compliance with Provisions of This Agreement. (ai) Failure by the Company to comply with or to perform any covenant set forth in Sections 10.1.5(a7.01(e), 10.5 7.05 through 10.97.09, 10.12 7.12, 7.16, 7.17 or 10.177.18; (bii) failure by the Company to comply with or to perform any covenant set forth in Sections 10.10 7.01(a), 7.01(b), 7.01(c), 7.10 or 10.11 7.11 and continuance of such failure for ten days after an Executive Officer obtains actual knowledge; or (ciii) failure by the Company to comply with or to perform any other provision of this Agreement (and not constituting an Event of Default under any of the other provisions of this Section 129.01) and continuance of such failure for 30 days after written notice thereof to the Company from the Administrative Agent or any Bank Lender (acting through the Administrative Agent).

(a) Failure by the Company to comply with or to perform any covenant set forth in Sections 10.1.5(a), 10.5 through 10.9, 10.12 or 10.1710.19; (b) failure by the Company to comply with or to perform any covenant set forth in Sections 10.10 10.10, 10.11 or 10.11 10.18 and continuance of such failure for ten days after an Executive Officer obtains actual knowledge; or (c) failure by the Company to comply with or to perform any other provision of this Agreement (and not constituting an Event of Default under any of the other provisions of this Section 12) and continuance of such failure for 30 days after written notice thereof to the Company from the Administrative either Agent or any Bank (acting through the Administrative Agent).
