Common use of Non-Disturbance Agreement Clause in Contracts

Non-Disturbance Agreement. (a) If HMQ mortgages, charges or otherwise encumbers the Site, HMQ shall notify Project Co and, at the request of Project Co, provide Project Co with an agreement, in form satisfactory to Project Co, acting reasonably, executed by the mortgagee of the Site permitting Project Co and the Lenders’ Agent to access and use the Site under the licence granted pursuant to this Section 14 and the Lenders’ Direct Agreement, respectively, free from interference from the mortgagee or any person claiming by or through the mortgagee. This Section 14.6 shall not apply in respect of any portion of the Site used or developed pursuant to Section 14.2(b) if neither the licence granted pursuant to this Section 14 nor the Project Operations pertain to such portion of the Site.

Non-Disturbance Agreement. (a) If HMQ Contracting Authority mortgages, charges or otherwise encumbers the Site, HMQ Contracting Authority shall notify Project Co and, at the request of Project Co, provide Project Co with an agreement, in form satisfactory to Project Co, acting reasonably, executed by the mortgagee of the Site permitting Project Co and the Lenders’ Agent to access and use the Site under the licence granted pursuant to this Section 14 16 and the Lenders’ Direct Agreement, respectively, free from interference from the mortgagee or any person claiming by or through the mortgagee. This Section 14.6 16.6 shall not apply in respect of any portion of the Site used or developed pursuant to Section 14.2(b16.2(b) if neither the licence granted pursuant to this Section 14 16 nor the Project Operations Works pertain to such portion of the Site.

This Section 14.6 16.6 shall not apply in respect of any portion of the Site used or developed pursuant to Section 14.2(b16.2(b) if neither the licence granted pursuant to this Section 14 16 nor the Project Operations Works pertain to such portion of the Site.

(a) If HMQ Xxxxx mortgages, charges or otherwise encumbers the Site, HMQ Xxxxx shall notify Project Co and, at the request of Project Co, provide Project Co with an agreement, in form satisfactory to Project Co, acting reasonably, executed by the mortgagee of the Site permitting Project Co and the Lenders’ Agent to access and use the Site under the licence granted pursuant to this Section 14 and the Lenders’ Direct Agreement, respectively, free from interference from the mortgagee or any person claiming by or through the mortgagee. This Section 14.6 shall not apply in respect of any portion of the Site used or developed pursuant to Section 14.2(b14.2(a) if neither the licence granted pursuant to this Section 14 nor the Project Operations pertain to such portion of the Site.

(a) If HMQ the CTC mortgages, charges or otherwise encumbers the Site, HMQ the CTC shall notify Project Co and, at the request of Project Co, provide Project Co with an agreement, in form satisfactory to Project Co, acting reasonably, executed by the mortgagee of the Site permitting Project Co and the Lenders’ Agent to access and use the Site under the licence granted pursuant to this Section 14 16 and the Lenders’ Direct Agreement, respectively, free from interference from the mortgagee or any person claiming by or through the mortgagee. This Section 14.6 16.5 shall not apply in respect of any portion of the Site used or developed pursuant to Section 14.2(b16.2(b) if neither the licence granted pursuant to this Section 14 16 nor the Project Operations Works pertain to such portion of the Site.

(a) If HMQ JBH mortgages, charges or otherwise encumbers the Site, HMQ JBH shall notify Project Co and, at the request of Project Co, provide Project Co with an agreement, in form satisfactory to Project Co, acting reasonably, executed by the mortgagee of the Site permitting Project Co and the Lenders’ Agent to access and use the Site under the licence granted pursuant to this Section 14 16 and the Lenders’ Direct Agreement, respectively, free from interference from the mortgagee or any person claiming by or through the mortgagee. This Section 14.6 16.6 shall not apply in respect of any portion of the Site used or developed pursuant to Section 14.2(b16.2(b) if neither the licence granted pursuant to this Section 14 16 nor the Project Operations Works pertain to such portion of the Site.

This Section 14.6 shall not apply in respect of any portion of the Site used or developed pursuant to Section 14.2(b) if neither the licence granted pursuant to this Section 14 nor the Project Operations pertain to such portion of the Site.

Non-Disturbance Agreement. (a) If HMQ HRRH mortgages, charges or otherwise encumbers the Site, HMQ HRRH shall notify Project Co and, at the request of Project Co, provide Project Co with an agreement, in form satisfactory to Project Co, acting reasonably, executed by the mortgagee of the Site permitting Project Co and the Lenders’ Agent to access and use the Site under the licence granted pursuant to this Section 14 and the Lenders’ Direct Agreement, respectively, free from interference from the mortgagee or any person claiming by or through the mortgagee. This Section 14.6 shall not apply in respect of any portion of the Site used or developed pursuant to Section 14.2(b) if neither the licence granted pursuant to this Section 14 nor the Project Operations pertain to such portion of the Site.

Non-Disturbance Agreement. (a) If HMQ IO mortgages, charges or otherwise encumbers the Site, HMQ IO shall notify Project Co and, at the request of Project Co, provide Project Co with an agreement, in form satisfactory to Project Co, acting reasonably, executed by the mortgagee of the Site permitting Project Co and the Lenders’ Agent to access and use the Site under the licence granted pursuant to this Section 14 and the Lenders’ Direct Agreement, respectively, free from interference from the mortgagee or any person claiming by or through the mortgagee. This Section 14.6 shall not apply in respect of any portion of the Site used or developed pursuant to Section 14.2(b) if neither the licence granted pursuant to this Section 14 nor the Project Operations pertain to such portion of the Site.

Non-Disturbance Agreement. ‌ (a) If HMQ Contracting Authority mortgages, charges or otherwise encumbers all or any part of the Site, HMQ Contracting Authority shall notify Project Co and, at the request of Project Co, provide Project Co with an agreement, in form satisfactory to Project Co, acting reasonably, executed by the mortgagee mortgagee, chargee or other encumbrancer of the Site permitting Project Co and the Lenders’ Agent to access and use the Site under the licence granted pursuant to this Section 14 16 and the Lenders’ Direct Agreement, respectively, free from interference from the mortgagee mortgagee, chargee or other encumbrancer or any person claiming by or through the mortgagee, chargee or other encumbrancer. This Section 14.6 16.6 shall not apply in respect of any portion of the Site used or developed pursuant to Section 14.2(b16.2(b) if neither the licence granted pursuant to this Section 14 16 nor the Project Operations Works pertain to such portion of the Site.
