NON-ENFORCEABILITY. The invalidity or unenforceability for any reason of any part of this Agreement shall not prejudice the continuation in force of any other part of this Agreement.
NON-ENFORCEABILITY. The provisions of this Agreement are severable, and in the event that any provision of this Agreement shall be determined to be invalid or unenforceable under any controlling body of law such determination shall not in any way affect the validity or enforceability of the remaining provisions of this Agreement.
NON-ENFORCEABILITY. The invalidity or unenforceability for any reason of any part of this XXXX shall not prejudice the continuation in force of any other part of this XXXX.
NON-ENFORCEABILITY. If any provision from these Terms and Conditions was or has become irregular, illegal or unenforceable in any form at any time under the applicable law in any country, it would not affect or hinder in any way the regularity, legality and enforceability of this provision under the applicable system in any other country or the regularity, legality and enforceability of the other provisions in this agreement, under the applicable law in this country or any other country; and the Manager does not bear any responsibilities towards the Client in this regard.
NON-ENFORCEABILITY. If any provision of this Agreement or the application thereof is adjudicated to be void, invalid or unenforceable, such action shall not make the entire agreement void, but rather only such provision. All remaining provisions shall remain in full force and effect.
NON-ENFORCEABILITY. This Agreement is not intended to confer nor does ------------------ it confer upon any person other than the parties hereto any rights or remedies hereunder, except with respect to the Merger Consideration and except as contemplated in Sections 8.1 (each of which shall be enforceable by the party intended to be benefited thereby).
NON-ENFORCEABILITY. If any provision of this Agreement is held to be invalid, unenforceable, or void, in whole or in part, the remainder of this Agreement shall retain its value, enforceability and legal force.
NON-ENFORCEABILITY. Should any part or provision of this AGREEMENT be held unenforceable or in conflict with the law of any jurisdiction, the validity of the remaining parts or provisions shall not be affected by such holding. In such event, the PARTIES shall agree on new provisions the economic effect of which will approximate, as closely as possible, that of the invalid provision.
NON-ENFORCEABILITY. This letter agreement may only be enforced by Parent. Without limiting the foregoing, Parent’s creditors shall have no right to enforce this letter agreement or to cause Parent to enforce this letter agreement
NON-ENFORCEABILITY. This MOU is not intended to and does not create any substantive or procedural rights that are enforceable at law or equity against the United States or its officers, agents, and employees.
