Common use of Non-Exclusive Equitable Remedy Clause in Contracts

Non-Exclusive Equitable Remedy. Contractor acknowledges and agrees that due to the unique nature of County Information there can be no adequate remedy at law for any breach of its obligations hereunder, that any such breach may result in irreparable harm to the County, and therefore, that upon any such breach, the County will be entitled to appropriate equitable remedies, and may seek injunctive relief from a court of competent jurisdiction without the necessity of proving actual loss, in addition to whatever remedies are available within law or equity. Any breach of Section 6 CONFIDENTIALITY constitutes a material breach and will be grounds for immediate termination of this Contract at the exclusive discretion of the County.
