Non-Managing General Partners. No Non-Managing General Partner's interest shall be sold, assigned, transferred, pledged or hypothecated or encumbered (any such transaction, a "Transfer"), in whole or in part, except in accordance with the terms and -------- conditions set forth in this Article 8.
