Non-Member Participation. Additional non-members of the JSC having relevant experience may from time to time be invited to participate in a JSC meeting, provided that such participants shall have no voting rights or powers. Non-member participants who are not employees of a Party or its Affiliates shall only be allowed to attend if: (i) the other Party’s representatives have consented to the attendance (such consent not to be unreasonably withheld, delayed or conditioned); and (ii) such non-member participant is subject to confidentiality and non-use obligations substantially consistent with those set forth in this Agreement.
Non-Member Participation. Additional non-members of the Information Sharing Committee having relevant experience may from time to time be invited to participate in an Information Sharing Committee meeting, provided that such participants shall have no voting rights or powers. Non-member participants who are not employees of a Party or its Affiliates shall only be allowed to attend if: (1) the other Party’s representatives have consented to the attendance (such consent not to be unreasonably withheld, delayed or conditioned); and (2) such non-member participant is subject to confidentiality and non-use obligations at least as restrictive as those set forth in this Agreement.

Non-member participants who are not employees of a Party or its Affiliates shall only be allowed to attend if: (A) the other Party’s representatives have consented to the attendance (such consent not to be unreasonably withheld, delayed or conditioned); (B) such non-member participants are subject to confidentiality and non-use obligations at least as restrictive as those set forth in this Agreement, including the provisions of Sections 11.10(a) and 11.10(b), and shall be deemed the “Representatives” of the Party inviting such participants to the meeting.

Additional non-members of the JSC having relevant experience in certain areas, such as IP, may from time to time be invited to participate in a JSC meeting, provided that such participants shall have no voting rights or powers. Non-member participants who are not employees of a Party or its Affiliates shall only be allowed to attend if: (i) the other Party’s representatives have consented to the attendance (such consent not to be unreasonably withheld, delayed or conditioned); and (ii) such non-member participant is subject to and agrees to confidentiality and non-use obligations at least as restrictive as those set forth in this Agreement and intellectual property ownership and assignment provisions consistent with the obligations of the Parties under this Agreement.
Non-Member Participation. Either Member may invite ------------------------ consultants or other personnel to attend meetings of the BEXTRA Committee, upon reasonable advance notice to the other Member. Any such participants must be obligated to observe the confidentiality provisions under Section 17.4 hereof. Without limiting the foregoing, Interneuron acknowledges that Intercardia may invite Xxxxx representatives to attend such meetings when required under the Xxxxx Agreement or as otherwise may be appropriate (e.g., to discuss safety monitoring and adverse event reporting systems) and the Members may invite representatives of any licensee in the CPEC Territory under comparable terms and conditions. The Members will exchange information and update each other on the status and results of their respective activities on behalf of CPEC, to the extent not exchanged outside the meetings.
Non-Member Participation. 1417 At least once per quarter the Nurse Executive/DONP shall meet with the Professional Performance Committee at one (1) of its regularly scheduled meetings. 1418 Agendas will include the names of all managers who are invited to attend the meeting and will include sufficient information so that the manager may prepare in advance for the discussion. If urgent issues arise after the agenda is distributed, the PPC Chair should advise management as soon as such issues become known. 1419 Management will use its best efforts to be responsive to new issues. When the responsible Nurse Manager has a conflict and is prevented from attending a meeting, (s)he should, if possible, provide at least a two (2) days’ notice to the Chair of the PPC and the Nurse Executive/DONP. If the Nurse Manager cannot attend, (s)he will appoint a designee when such a person is available and it is appropriate to the subject matter to be discussed. Management participants may bring along additional non-members, including Human Resources/Labor Relations Representatives, as s/he deems appropriate, depending on agenda items, procedural issues under review, or in an advisory capacity. When PPC invites a non-member (exclusive of CNA staff) it should be noted on the agenda along with the related agenda item.
