Common use of Non-Reliance Clause in Contracts

Non-Reliance. Each Party acknowledges that in agreeing to this Agreement it has not relied on any oral or written representation, warranty or other assurance, except as otherwise set forth in this Agreement, and waives all rights and remedies which might otherwise be available to it in respect thereof, except that nothing in this Agreement will limit or exclude any liability of a Party for fraud.

Non-Reliance. Each Party party acknowledges that in agreeing to this Agreement it has not relied on entered into this Agreement in reliance on, and shall have no remedies in respect of, any oral representation or written representation, warranty or other assurance, except as otherwise that is not expressly set forth out in this Agreement, and waives all rights and remedies which might otherwise be available to it except in respect thereof, except that nothing the case of fraudulent misrepresentation. No Party shall have any claim for innocent or negligent misrepresentation on the basis of any statement in this Agreement will limit or exclude any liability of a Party for fraudAgreement.
