Non-Solicitation of Company Customers. Executive agrees that during the Restricted Period, Executive shall not, directly or indirectly, whether on Executive’s own behalf or on behalf of any other person or entity, solicit any actual or prospective customers of the Company with whom Executive had Material Contact, for the purpose of selling any products or services to such customers on behalf of a Competing Business.

Executive agrees that during During the Restricted Period, Executive shall will not, directly or indirectly, whether on for Executive’s own behalf benefit or on behalf for the benefit of any other person individual or entity: (i) solicit business from any Company Customer that is, solicit any actual or prospective customers of the Company with whom Executive had Material Contact, for the purpose of selling any offer to provide products or services to such customers on behalf of a Competing any Company Customer that are, similar to any product or service provided or that could be provided by the Company or that are otherwise competitive with the Business; (ii) cause or encourage any Company Customer to reduce or cease doing business with the Company, or (iii) otherwise negatively interfere with the Company’s relationships with any Company Customer.
